Terms of Service

These Terms of Service ("Terms") govern your access to and use of InvoiceFlow ("Service"), operated by InvoiceFlow ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this requirement.

InvoiceFlow is an AI-powered tool that converts invoice files (PDF, PNG, JPEG, WEBP) into structured spreadsheet formats (Excel and CSV) using configurable templates. The Service is provided on a subscription basis with usage limits defined by your chosen plan.

The Service is provided "as is" and "as available". The accuracy of AI-extracted data depends on the quality and format of your source documents. You are responsible for reviewing and verifying all output before use in financial or business decisions.

Free trial: All paid plans include a 3-day free trial. A valid payment method is required to start the trial. You will not be charged during the trial period.

Auto-renewal: If you do not cancel before the trial ends, you will be automatically charged the applicable subscription fee for your chosen plan and billing cycle (monthly or yearly). Your subscription will renew automatically at the end of each billing period.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then. We do not offer partial refunds for unused days in a billing period.

Price changes: We reserve the right to change subscription prices. We will provide at least 30 days' notice by email before a price change takes effect. Continued use after the effective date constitutes acceptance.

Payment processing: Payments are processed by DodoPayments. By subscribing, you also agree to DodoPayments' terms of service. We do not store your payment card details.

Each subscription plan includes defined limits:

• A monthly page quota that resets at the start of each billing period.
• A maximum number of pages per individual conversion request.
• A maximum number of conversion requests per 24-hour period.

Only successfully completed conversions count against your monthly quota. Failed conversions are not charged. Limits are strictly enforced and cannot be rolled over between billing periods.

You agree not to:

• Upload files containing illegal content, personally identifiable information of third parties without consent, or content that violates any applicable law.
• Attempt to circumvent usage limits, rate limits, or access controls.
• Reverse-engineer, decompile, or attempt to extract source code from the Service.
• Use automated scripts, bots, or other tools to access the Service in a manner that violates these Terms or places unreasonable load on our infrastructure.
• Resell, sublicense, or offer the Service to third parties without our explicit written consent.
• Use the Service for any purpose that is unlawful or harmful to us or others.

We reserve the right to suspend or terminate accounts that violate these rules, without prior notice.

You retain full ownership of the files you upload and the data extracted from them. By using the Service, you grant InvoiceFlow a limited, non-exclusive, royalty-free licence to process, store, and transmit your files solely for the purpose of delivering the Service to you.

We do not sell, share, or use your files or extracted data for any purpose other than providing the Service. We do not use your invoice data to train AI models.

You are solely responsible for ensuring you have the right to upload and process any files you submit. You represent that your files do not violate any third-party rights or applicable laws.

We aim to provide a reliable, high-availability service, but we do not guarantee uninterrupted or error-free operation. The Service depends on third-party infrastructure and AI services that may experience their own outages or disruptions outside our control.

We may perform scheduled or emergency maintenance that temporarily reduces or suspends access to the Service. We will endeavour to provide advance notice of planned maintenance where possible.

We provide no Service Level Agreement (SLA) and are not liable for losses arising from service unavailability, delays, or errors.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF EXTRACTED DATA.

We do not warrant that: (a) the Service will meet your specific requirements; (b) AI extraction results will be accurate, complete, or error-free; (c) the Service will be available at any particular time or location; or (d) any defects or errors will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVOICEFLOW, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss or corruption of data or files
• Cost of substitute services
• Business interruption
• Any damages arising from reliance on AI-extracted data without independent verification

This applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the subscription fees paid by you to InvoiceFlow in the three (3) calendar months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you. In such cases, liability is limited to the fullest extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless InvoiceFlow and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you upload or process through the Service.

You may terminate your account at any time by cancelling your subscription and requesting account deletion via email.

We may suspend or terminate your access immediately, without prior notice, if you breach these Terms, engage in abusive or illegal activity, or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately.

Sections 8, 9, 10, and 12 survive termination of these Terms.

These Terms are governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in the applicable jurisdiction. [Update this section with your specific jurisdiction before going live.]

We may modify these Terms at any time. We will notify you of material changes by email at least 30 days before they take effect. The updated Terms will be posted on this page with a revised effective date.

Your continued use of the Service after the effective date of a change constitutes your acceptance of the updated Terms. If you do not agree with updated Terms, you must stop using the Service and cancel your subscription before the effective date.
